Terms & Conditions

ScientiFIX LLC ("Seller") provides product maintenance and repair services ("Services") for laboratory and scientific instruments based on the terms outlined here. Buyer agrees to these terms by issuing or assigning a purchase order for the Services, accepting any Service under the purchase order, or making a payment for any Services. This agreement is exclusive and supersedes all prior agreements.

I. GENERAL SERVICE TERMS

  1. Scope of Services
    Seller will provide Services to diagnose, repair, and maintain covered instruments as per industry standards. Services cover labor, materials, and travel where applicable. Seller may subcontract Services but remains responsible for third-party compliance with terms.

  2. Service Requirements
    Buyer must meet safety and access requirements, including:

    • Decontaminating instruments prior to Service.

    • Providing safe entry information for locations involving biohazards and any required safety equipment.

    • Complying with Seller's instructions to ensure instrument safety and accessibility for repairs.
      Seller reserves the right to delay or refuse Service if requirements are not met.

  3. Replacement Parts
    Replacement parts required for initial repair will by default be Seller's responsibility to procure unless otherwise agreed upon. Seller will provide replacement parts for defects in workmanship or materials. Replacement parts may be new, remanufactured, or refurbished, and removed parts become Seller's property. Consumables (e.g., filters, cuvettes) and reagents are not covered and must be purchased separately by Buyer.

  4. Service Requests and Response Time
    Buyer should contact Seller for Service requests during standard business hours (8:00 a.m. - 5:00 p.m. EST, Monday-Friday, excluding holidays). Response times are as quoted or listed on the service plan.

  5. Support Conditions
    Buyer must:

    • Promptly notify Seller of malfunctions.

    • Provide all relevant information for diagnosis.

    • Ship defective instruments to Seller (if depot service is required).

    • Allow Seller’s representatives access to instruments at Buyer’s facility (if field service is required).

  6. Exclusions
    Services do not cover instruments with (but not limited to) improper maintenance, contamination, or unapproved modifications.

  7. Payment Terms
    Services are billed per quotation, job, or period, exclusive of applicable taxes.
    a. Payment Methods
    ScientiFIX accepts the following payment methods:

    • Credit/Debit Card

    • ACH/Wire Transfer

    • PayPal/Stripe/Apple Pay/BILL.com

    • Business or Bank Check (make payable to “ScientiFIX LLC”)

  8. b. Late Payment
    Unless alternate payment arrangements are agreed to in advance, payment is considered late after 14 calendar days, and delinquent after 30 calendar days past the date of invoice. ScientiFIX reserves the right to apply penalties for late and delinquent payments, including charging late fees, interest, collection fees, etc.

  9. Intellectual Property
    All inventions, developments, and technologies made during Service are the property of Seller.

  10. Warranty and Disclaimer
    Seller warrants Services against defects in workmanship for 30 days from the invoice date. Warranty does not cover misuse, modifications, or unauthorized repairs. Seller’s sole liability for warranty claims is limited to re-performing Services. ALL OTHER WARRANTIES ARE DISCLAIMED.

  11. Limitation of Liability
    Seller is not liable for indirect, incidental, or consequential damages. Total liability is capped at the amount paid for Services in the relevant year.

  12. Indemnity
    Buyer indemnifies Seller against claims arising from Buyer’s improper installation or unsafe use of equipment.

  13. Termination
    This agreement is valid for one year from the effective date. Either party may terminate with written notice if the other fails to correct a breach within 30 days. Seller may also terminate if Buyer relocates the equipment.

  14. Force Majeure
    Seller is not liable for delays caused by uncontrollable events (e.g., natural disasters, strikes).

  15. Assignment
    Buyer may not assign this agreement without Seller’s written consent.

II. SERVICE PLANS
15. Service Plan Process
Service Plan requests receive priority over non-plan requests. Depot Service Plan items must be shipped to Seller per provided instructions, while field Service Plan items are addressed onsite. Replacement Plan coverage includes replacement products if repair isn’t feasible.

  1. Service Plan Exclusions
    Service Plans exclude software maintenance, protocol development, and malfunctions due to neglect, misuse, or unauthorized modifications.

III. TIME AND MATERIAL SERVICES
17. Time and Material Depot Services
For non-plan depot Services, Buyer must submit a purchase order with an estimated amount. If actual costs exceed the estimate, Seller will notify Buyer for approval before proceeding.

  1. Time and Material Field Services
    For non-plan field Services, Buyer must submit a purchase order equal to the minimum field service fee. Any increase will require Buyer’s approval.
